Terms of Service

1. What MindMux Is

MindMux is a local-first AI workbench for technical thinkers.

It helps you discuss projects with AI systems, compile conclusions into a portable Markdown “brain,” and hand off structured tasks to downstream tools such as coding agents or issue trackers.

MindMux is designed around a simple principle: Your brain belongs to you.

Your local workspace files, including your Markdown brain, remain under your control unless you choose to connect cloud features.

2. Eligibility

You must be at least 13 years old, or the minimum age required in your jurisdiction, to use MindMux.

If you use MindMux on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts and Access

Some MindMux features may work without an account, especially local-only features. Cloud features, publishing, backup, sync, or team collaboration may require an account.

You are responsible for:

  • keeping your account credentials secure;
  • maintaining access to your email or identity provider;
  • all activity that occurs under your account;
  • promptly notifying us of unauthorized access.

We may suspend or terminate access if we believe your account is compromised or used in violation of these Terms.

4. Local Data and Cloud Features

MindMux is local-first. Many features operate on files stored in your own workspace.

However, if you enable cloud features, we may process data needed to provide those features, such as:

  • account information;
  • cloud backup or sync data;
  • published brain content;
  • shared workspace data;
  • service logs and diagnostics.

You control whether to use optional cloud features. If you do not enable them, related data may remain only on your device, subject to your own backups, file permissions, and security practices.

5. AI Providers and Model Output

MindMux allows you to use third-party AI providers through your own API keys. AI token costs are billed directly by your chosen provider — MindMux does not charge for or proxy AI usage.

When you use AI features:

  • your prompts, files, brain content, task context, or other inputs may be sent to the selected AI provider;
  • model outputs may be inaccurate, incomplete, unsafe, or unsuitable for your use case;
  • you are responsible for reviewing and validating AI-generated content before relying on it;
  • you should not submit sensitive, regulated, confidential, or personal information unless you understand and accept the applicable provider's terms and privacy practices.

MindMux does not guarantee that AI output is correct, secure, non-infringing, or fit for any particular purpose.

6. Your Content

“Your Content” includes the text, files, prompts, Markdown pages, project notes, code snippets, tasks, documents, and other materials you provide to or create with MindMux.

You retain ownership of Your Content.

You grant us a limited license to process Your Content only as necessary to:

  • operate the Service;
  • provide features you request;
  • store, sync, publish, or share content when you enable those features;
  • troubleshoot, secure, and improve the Service;
  • comply with law.

We do not claim ownership of your local Markdown brain.

7. Client Software License

The MindMux desktop client code is planned to be distributed under its respective software license, which will govern the use, modification, and distribution.

These Terms govern hosted services, accounts, cloud features, websites, and other services provided by MINDFLY INC.

If there is a conflict between these Terms and an applicable license for the client code, the applicable license controls for that code.

8. Acceptable Use

You agree not to use MindMux to:

  • violate laws or regulations;
  • infringe intellectual property or privacy rights;
  • generate or distribute malware, credential theft, or unauthorized exploit code;
  • abuse, disrupt, reverse engineer, or overload our hosted systems;
  • bypass usage limits, payment requirements, or access controls;
  • use the Service to process data you are not authorized to process;
  • publish illegal, harmful, deceptive, or abusive content;
  • use AI features in high-risk contexts without appropriate human review.

We may suspend or terminate access for violations.

9. Third-Party Services

MindMux may integrate with third-party services such as AI providers, GitHub, Linear, Notion, GitLab, Stripe, cloud infrastructure providers, analytics tools, and other connectors.

Your use of third-party services is governed by their own terms and privacy policies. We are not responsible for third-party services, outputs, outages, pricing, policy changes, or data handling practices.

10. API Keys and AI Costs

MindMux uses your own AI provider API keys to power AI features. You are responsible for:

  • obtaining and maintaining valid API keys from your chosen AI provider;
  • all token usage costs charged by your AI provider;
  • keeping your API keys secure and rotating them if compromised.

MindMux does not bill for AI usage and is not responsible for charges incurred through your AI provider accounts.

11. Beta and Experimental Features

Some MindMux features may be labeled alpha, beta, preview, experimental, or early access.

These features may change, break, lose data, or be discontinued. They are provided “as is” and may be subject to additional limits.

Do not rely on beta features for critical workflows without your own backups and review.

12. Backups and Data Loss

MindMux is designed to give you control over your local files. You are responsible for maintaining your own backups of local workspaces, Markdown brain files, project files, settings, API keys, and other local data.

If you use cloud backup or sync, we will use reasonable efforts to operate those features reliably, but we do not guarantee that data loss will never occur.

13. Intellectual Property

MindMux, including our trademarks, logos, hosted services, website, product design, and non-open-source components, is owned by MINDFLY INC. or its licensors.

You may not use our trademarks, branding, or logos without permission, except as allowed by law or our brand guidelines.

14. Feedback

If you send us feedback, suggestions, bug reports, ideas, or feature requests, you grant us the right to use them without restriction or compensation.

You are not required to provide feedback.

15. Disclaimers

The Service is provided “as is” and “as available.”

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and security.

We do not warrant that:

  • the Service will be uninterrupted or error-free;
  • AI outputs will be accurate or reliable;
  • integrations will remain available;
  • your use of the Service will meet your requirements;
  • data will never be lost or corrupted.

16. Limitation of Liability

To the maximum extent permitted by law, MINDFLY INC. and its affiliates, officers, employees, agents, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, or business opportunities.

To the maximum extent permitted by law, our total liability for any claim related to the Service will not exceed the greater of:

  • the amount you paid us for the Service in the 12 months before the claim; or
  • USD $100.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

17. Indemnity

If you use the Service on behalf of a business or organization, you agree to indemnify and hold harmless MINDFLY INC. from claims, damages, liabilities, costs, and expenses arising from:

  • your use of the Service;
  • Your Content;
  • your violation of these Terms;
  • your violation of law or third-party rights;
  • your use of third-party services or AI outputs.

18. Termination

You may stop using MindMux at any time.

We may suspend or terminate your access if:

  • you violate these Terms;
  • required by law;
  • your use creates security, legal, or operational risk;
  • we discontinue a feature or service.

Termination does not affect provisions that should reasonably survive, including ownership, disclaimers, limitations of liability, indemnity, and dispute terms.

19. Changes to the Service or Terms

We may update the Service and these Terms from time to time.

If changes are material, we will provide reasonable notice, such as by posting an update on our website or notifying account holders.

Continued use after changes become effective means you accept the updated Terms.

20. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules.

Any dispute will be resolved in the courts located in Delaware, unless applicable law requires otherwise.
